These terms govern your use of the Fiaris website and research desk (the “Service”). By using the Service, you agree to them. If you do not agree, do not use the Service.
The Service is operated from Chile by SERVICIOS DE INFORMACIÓN FINANCIERA FIARIS LIMITADA, doing business as Fiaris (“Fiaris,” “we,” “us”). Contact: support@fiaris.com · Monjitas Nro. 527, Of. 1207, Santiago Centro, Región Metropolitana, Chile.
Our Privacy Policy is at https://fiaris.com/privacy and is part of how we handle personal information. It is not a billing contract.
1. What Fiaris is
Fiaris is a research desk for as-reported company filings (primarily US 10-Ks): statement lines, footnotes, and MD&A excerpts we have indexed. Figures are shown as printed, with the units label from the filing.
Fiaris is not a broker-dealer, investment adviser, rating agency, or exchange. Nothing on the Service is an offer to buy or sell securities, tax advice, or a recommendation. You are responsible for any decision you make with this information.
Filings can be restated; until we show a restated comparative, you are looking at as-filed originals. We may lag EDGAR. We may be missing a company or a year. Do not treat completeness as guaranteed.
2. Who may use it
You must be able to form a contract (in the US, typically 18 or older) and must not be prohibited from using the Service under applicable law. The public audience we design for is the United States; the operator is in Chile.
3. Accounts (when enabled)
Some features may require signing in with Google. We do not issue Fiaris passwords for the public product. You must keep control of that Google account. You may sign out or request deletion as described in the Privacy Policy.
We may refuse, suspend, or close an account if you breach these terms, abuse the Service, or we are required to.
Account pages (profile, settings) are separate from a company’s research dossier. A Fiaris user is not an issuer.
Sign-in on fiaris.com may be off until we choose to turn it on. Using a preview or localhost build does not change these terms.
4. Fees
There is no paid plan, subscription, or checkout on the Service today. You do not authorize charges by using the research desk.
If we later offer paid access, we will post updated terms and a payment flow before any charge. Those future terms would describe price, merchant of record, renewals, and cancellation. None of that is in force now. Do not send us card numbers.
5. Acceptable use
You may use the Service for your own research.
You may not:
- Scrape, bulk-harvest, or overload the site in a way that degrades it for others
- Bypass access controls, feature flags, or session cookies
- Reverse-engineer except as the law allows
- Misrepresent the data as “audited by Fiaris,” restated when it is not, or as live market data
- Use the Service to build a competing filings dump by wholesale copying of our compiled pages
- Interfere with other users, probe for accounts that are not yours, or attempt unauthorized access
- Use the Service if it would violate US, Chilean, or other applicable law (including sanctions)
Public-company filings remain subject to their original copyright and SEC dissemination rules. We do not grant you the issuers’ copyright.
6. Our rights in the Service
We own the Fiaris software, compilation, design, and trademarks. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for lawful research, not to copy the product.
We may change, suspend, or discontinue features (including sign-in) at any time. The public site may remain a prototype.
7. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that figures are error-free, complete, timely, or suitable for any trade, filing, or compliance purpose. EDGAR and the issuer’s 10-K control if there is a conflict.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FIARIS AND ITS OPERATORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR TRADING LOSSES, EVEN IF ADVISED OF THE POSSIBILITY.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THE SERVICE IS LIMITED TO USD 0 WHILE THE SERVICE IS FREE, OR, IF A COURT DISALLOWS THAT, THE MINIMUM AMOUNT THE LAW REQUIRES.
Some jurisdictions do not allow certain limits; in those places, our liability is limited to the fullest extent permitted.
9. Indemnity
You will indemnify Fiaris against claims arising from your misuse of the Service, your violation of these terms, or your reliance on the desk for investment or reporting decisions.
10. Termination
You may stop using the Service at any time. We may stop offering it or close access as in §3. Sections that should survive (including 1, 5–9, 11) survive.
11. Law and disputes
These terms are governed by the laws of Chile, without regard to conflict-of-law rules. Courts of Santiago have exclusive jurisdiction, except that we may seek injunctive relief anywhere, and except for any non-waivable consumer rights you have in your place of residence (including the United States).
Venue is Santiago, Chile, with the US consumer-rights carve-out above.
12. Changes
We may update these terms by posting a new version with a new date. Continued use after the posting is acceptance. Material changes to a future paid product will be shown before any charge.
